智通财经APP获悉，Emera(EMA.US)同意以约143亿加元(100亿美元)的全股票交易方式收购Canadian Utilities Ltd.，从而打造一家业务遍及佛罗里州到阿尔伯塔省的大型电力与天然气企业。根据周二发布的声明，合并后公司的企业价值约为720亿加元，拥有600万客户。两家公司表示，这将是加拿大企业之间最大的单笔合并交易，并将形成一家北美前20大公用事业公司。
Emera的股东将持有合并后公司约60%的股份。合并后公司将继续沿用Emera的名称，总部设在哈利法克斯。Canadian Utilities的母公司ATCO Ltd.将把旗下其他业务分拆成一家独立的上市公司。
两家公司计划在2030年前开展一项320亿加元的资本投资计划。两家公司表示，通过合并，他们将更有能力推进大规模电气化项目、重大天然气和输电开发项目以及其他大型基础设施项目。
该交易预计将于2027年第三或第四季度完成。
周二美股盘前，Emera跌近1%。
